1. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

All disputes shall be subject to the exclusive jurisdiction of the competent courts in Riyadh.

2. Platform Nature and Scope of Services

FirmSanad ("FirmSanad," "we," "our," or "us") operates a structured digital platform for business formation, regulatory filings, and compliance processes in the Kingdom of Saudi Arabia.

FirmSanad facilitates:

Company incorporation and registration
Licensing and regulatory submissions (including MISA, Ministry of Commerce, and related entities)
Document generation and workflow management
Identity verification and compliance processes
Payment processing through approved providers

FirmSanad acts solely as a process facilitator and does not function as a government authority, legal advisor, or decision-making body. Regulatory approvals, timelines, and outcomes remain under the control of the relevant authorities.

3. Role of FirmSanad

FirmSanad operates as a digital platform provider and, depending on the context, may act as a data controller or data processor as outlined in the Privacy Policy.

4. Account Registration and User Responsibilities

4.1 Eligibility

Users must:

Be at least 18 years of age
Have full legal capacity
Provide accurate, current, and complete information

4.2 Client Responsibility

The User is solely responsible for:

The accuracy, completeness, and legality of all submitted information and documentation
Providing all required materials in a timely manner
Ensuring that submitted information meets applicable regulatory requirements

FirmSanad is not responsible for errors, omissions, or inconsistencies originating from client-provided materials.

4.3 Verification

FirmSanad reserves the right to approve, reject, or suspend any account based on identity verification results or regulatory considerations.

5. Service Execution and Timelines

All services are executed through structured digital workflows.

All timelines are estimates only
Processing depends on government authorities and third-party systems
Delays, rejections, or additional requirements imposed by such entities do not constitute a failure of service

6. Payments and Pricing

6.1 Prepaid Services

All services are strictly prepaid. No service will commence until full payment has been received.

6.2 Payment Methods

Payments must be made through approved providers (including, where applicable, Stripe or Moyasar). Accepted methods include Visa, MasterCard, Mada, Apple Pay, other supported digital payment methods, and international wire transfers.

Services will not commence until funds have been received and cleared.

FirmSanad does not store payment card information.

6.3 Chargebacks

Users agree not to initiate chargebacks without first attempting to resolve the issue with FirmSanad. Unauthorized chargebacks may result in account suspension and recovery actions.

7. Refund and Cancellation Policy

7.1 General Principle

All payments are final except as expressly provided in this Section.

7.2 Eligible Refunds

Refunds may be issued only where:

a. A service cannot be completed due to a failure attributable to FirmSanad's internal processes; or
b. A material misalignment between regulatory requirements and the client's specific circumstances prevents continuation within the defined workflow

7.3 Non-Refundable Situations

Refunds shall not be issued for:

a. Government rejections, delays, or decisions
b. Third-party system failures or processing delays
c. Client inaction, delay, or failure to provide required or accurate information
d. Outcomes resulting from incomplete, inconsistent, or non-compliant documentation
e. Change of mind after payment

7.4 Partial Refunds

Partial refunds may be issued where:

a. A service has been initiated but cannot be completed; and
b. Work has been partially performed by FirmSanad

Any such refund shall reflect the portion of services not yet delivered.

FirmSanad reserves the right, in its sole discretion, to determine whether a partial refund is appropriate and to calculate the amount of any such prorated refund based on the stage of service completion.

7.5 Refund Method

Refunds will be issued only through the original payment method used.

FirmSanad does not issue refunds through alternative payment channels.

8. Invoicing and Taxation

FirmSanad complies with applicable ZATCA e-invoicing requirements.

Invoices are issued electronically and made available to the User.

9. Legal Disclaimer

FirmSanad is not a law firm. No attorney-client relationship is created through the use of the platform.

All services are operational and administrative in nature.

10. Limitation of Liability

FirmSanad shall not be liable for:

Government decisions, rejections, or delays
Third-party system failures
Errors or omissions in client-provided information

Total liability for any claim shall be limited to the amount paid for the specific service giving rise to the claim.

11. Data Privacy and Security

FirmSanad processes personal data in accordance with its Privacy Policy, which forms an integral part of these Terms.

FirmSanad implements structured workflows and security controls designed to protect data and minimize processing errors.

12. Prohibited Activities

Users agree not to:

Use the platform for unlawful or fraudulent purposes
Submit false, misleading, or incomplete documentation
Circumvent platform controls or misuse system functionality

13. Communication

Users are deemed to have received communications sent to their registered email address.

FirmSanad is not responsible for missed deadlines resulting from failure to review such communications.

14. Authorized Representation

A third party may act on behalf of a User only where valid authorization (e.g., Power of Attorney) has been provided and verified.

15. Force Majeure

FirmSanad shall not be liable for delays or failure resulting from events beyond its reasonable control, including government outages, regulatory changes, or system disruptions.

16. Updates to Terms

FirmSanad may update these Terms from time to time. Material changes will be communicated through the platform or by email.

Continued use of the platform constitutes acceptance of the updated Terms.
